If there is any conflict between these Terms and the terms of an SOW, the SOW will prevail for the duration and subject matter of that project.
4. Fees & payment
Unless otherwise stated in an SOW or invoice, all fees are exclusive of VAT and other applicable taxes.
Invoices are typically issued in line with the payment schedule set out in the relevant SOW. Unless otherwise specified, invoices are due within 14 days of the invoice date. We reserve the right to suspend or delay work where invoices remain unpaid beyond the agreed terms.
5. Client responsibilities
To enable us to provide services efficiently, you agree to:
- Provide timely access to the information, platforms, and stakeholders we reasonably need.
- Ensure you have all necessary rights, licences, and permissions for any content, data, or assets you supply.
- Review and provide feedback or approvals within reasonable timeframes agreed between us.
- Comply with applicable laws, regulations, and platform or publisher policies in relation to your products, services, and campaigns.
6. Intellectual property
We retain ownership of any pre-existing intellectual property, tools, processes, and know-how that we use in the course of providing services, including any improvements to those items.
Unless otherwise agreed in an SOW, once all fees due for a project have been paid in full, you will receive a licence to use the final deliverables we create for you (such as designs, copy, or documents) for your own internal business purposes. Any different ownership or licensing arrangement will be clearly set out in the relevant SOW.
7. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with the services (“Confidential Information”) and to use such information only for the purpose of delivering or receiving the services.
Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is already lawfully known to the receiving party, is independently developed without use of the disclosing party’s Confidential Information, or is required to be disclosed by law or a competent authority.
8. Data protection
Each party will comply with applicable data protection and privacy laws when processing personal data in connection with the services.
Our handling of personal data collected through the Site is explained in our Privacy Policy. Where an engagement requires additional data protection terms, these will be agreed in writing and may form part of the SOW or a separate data processing agreement.

11. Termination
Either party may terminate an SOW or engagement if the other party commits a material breach of these Terms or the SOW and, where the breach can be remedied, fails to remedy it within 14 days of receiving written notice describing the breach.
Termination of an SOW will not affect any rights or obligations that have already accrued as of the date of termination. Provisions that are intended to continue after termination (including intellectual property, confidentiality, limitation of liability, and governing law) will remain in effect.
12. Governing law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
